Terms and Conditions of Service for Free CP5 Adult Media Websites.

CP5 Adult Media, an Adult Internet marketing company, provides adult websites that makes use of revenue producing programs, and completes all necessary programming, maintenance and hosting of client’s website and provides all the content, software updates, billing, customer support, and marketing assistance.

1. Domain Name and Website Ownership
The Client must select a domain name for each website being programmed by (subject to name availability). CP5 Adult Media will provide immediate assistance to all Clients in domain name selection and registration. Unless the Client requests otherwise, all domain names being registered and paid for by, will be registered to Client and will remain the property of Client. The website html code will also remain the property of Client.

2. Setup Time
Upon receipt of Client’s Order Form with domain name confirmation, CP5 Adult Media will complete all programming in 3 business days or less, and will subsequently forward to Client setup confirmation which will include all necessary information for Client to begin marketing their website(s) and/or telephone lines. Passwords and ID’s for checking Client’s revenue and other statistical data will be included in the setup confirmation. The setup confirmation will be sent to Client via email unless instructed otherwise.

3. Performance Disclosure
If the performance of any web servers, or any other equipment which is integral to the delivery of products and/or services offered by the Client’s website(s) a should be interrupted or prevented by an act of god, public enemy, war, riot, storm, earthquake, fire, explosion, or some other act beyond it’s control, CP5 Adult Media shall be excused from further performance of such obligations, for the period time reasonably necessary to remedy the effects of the occurrence.

4. Representations
Client is over the age of eighteen (18) years, and that the Client is the person who owns or is otherwise is entitled to contract and enter into this Agreement on behalf of the entity or person that owns the rights to the website.

5. Image Rights and Content
Affiliates provides 100% of the content for The Client website at no charge.

6. Notification Disclosures
Any notice required under this Agreement shall be in writing and shall be effective as of the date received. Such notice may also be delivered by certified mail, facsimile, or by hand to the party entitled to receive such notice at the address contained in this agreement or such other address as the parties may designate. Any unresolved disputes between the parties shall be litigated in the courts of the State of NJ, County of Somerset. The losing party to any dispute so litigated shall pay to the other party it’s attorney fees and costs incurred in connection therewith.

7. Product and Service Liability and Licensing Requirements
CP5 Adult Media , will forever be held free of any and all liability stemming from customer complaints, product liability, service liability, or any other claim made by customers that have purchased products and/or services from the Client’s web sites. There is no license required to participate in any of website programs.

8. Support
CP5 Adult Media offers its Clients both phone and email support in order to provide Client with ongoing assistance to market their website/s. All support queries will be responded to within 24-48 hours or sooner.

9. Commission and Payment Terms
Commissions checks are sent by your affiliates directly monthly. Real-time tracking is provided so that Client can fully monitor ongoing traffic stats, and sales performance.

10. Setup Cost – None.

11. Cancellation
The Client may cancel their service with any time, but the Client will not receive a refund of any monies paid to prior to the date of cancellation. CP5 Adult Media may cancel this agreement with or without notice in the event that the Client commits any act of fraud, including but not limited to false or fraudulent memberships, spam abuse, or other any other acts of fraud.

12. Transfer of Website Ownership
Client may sell, or transfer ownership of his/her adult website/s to a new owner at anytime. CP5 Adult Media will transfer existing website to new account holder upon payment of a one-time transfer fee of $149 by either party upon Clients notification by fax within 3 business days.

13. Force Majeure Clause
Throughout the term of this Agreement, CP5 Adult Media will use their best efforts to maintain the services and the operations of all web sites, that are operated under the terms of any Service Agreements. In no event shall CP5 Adult Media or any of its affiliates be held liable for any damages, claims, or losses to the Client or Information Provider as a result of downtime or termination of telephone services that arise as the result of unspecified occurrences and events beyond the control of CP5 Adult Media.
